These Terms of Service govern your access to and use of the Way To Payments platform, APIs, and related services.

Scope Merchants only Applies to businesses using the platform to process payments.
Jurisdiction Delaware, U.S. Governing law and venue for disputes unless agreed otherwise.
1. Acceptance of terms

Using Way To Payments means accepting these terms

By creating an account, integrating our APIs, or processing any transaction through Way To Payments, you agree to be bound by these Terms of Service, any product-specific terms, and policies referenced here.

If you are accessing the services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. If you do not agree to these terms, you must not use the services.

2. Merchant eligibility

Who can use the platform

You must operate a legitimate business and comply with all applicable laws, card network rules, and regulatory requirements. Certain business categories may be restricted or require additional underwriting, including high-risk industries, cross-border transactions, or regulated financial services.

We may request information about your business, ownership, and financial status. You agree to provide accurate, complete information and to keep it up to date so that we can perform onboarding, risk assessments, AML / KYC checks, and ongoing monitoring.

3. Account, security & compliance

Responsibility for your credentials and compliance

You are responsible for maintaining the confidentiality of your credentials, API keys, and any access tokens issued to your organization. You must implement reasonable security controls to protect access to the dashboard, integrations, and any stored cardholder or customer data.

You agree to notify us promptly of any suspected unauthorized access, security incident, or data breach related to your use of the services so that we can help coordinate response and mitigation with card networks, banks, and affected users.

4. Fees, payouts & chargebacks

How pricing and settlements work

Unless otherwise agreed in writing, you are charged per successful card transaction at the rates published on the Pricing page. Additional fees may apply for disputes, chargebacks, cross-border transactions, or optional value-added services.

Payouts are made to your designated bank account according to your settlement schedule. We may delay or withhold payouts if we detect abnormal activity, excessive chargebacks, or potential fraud, or if required by law or card network rules.

For each chargeback or dispute, you authorize us to debit the relevant amount, including fees, from your upcoming payouts or your designated funding account.

5. Prohibited activities

What you cannot use the platform for

You must not use the services for any illegal purpose, including but not limited to money laundering, terrorist financing, sanctions violations, or sale of prohibited goods and services. We may update our prohibited and restricted business lists from time to time.

We reserve the right to suspend or terminate access if we believe your activity presents unacceptable risk, violates card network rules, or could harm customers, partners, or the integrity of the platform.

6. Intellectual property

Licenses and ownership

Way To Payments and its licensors retain all rights, title, and interest in and to the platform, APIs, documentation, and associated technology. Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to use the services solely for your internal business purposes.

You must not reverse engineer, decompile, or attempt to derive source code from the services, nor may you resell, sublicense, or create competing services based on our platform without express written permission.

7. Term, suspension & termination

When we can suspend or end your access

These terms remain in effect while you use the services. Either party may terminate the agreement with written notice, subject to any minimum commitment agreed in an order form. Termination does not relieve you of your obligations for fees or chargebacks incurred before the effective date.

We may suspend or limit access immediately if we detect fraud, security issues, non-payment, or violation of these terms. We will, where reasonable, provide you with notice describing the reason and any steps to restore access.

8. Disclaimers & limitation of liability

What we are and are not responsible for

The services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

To the extent permitted by law, our aggregate liability for any claims arising out of or relating to the services will be limited to the fees paid by you to Way To Payments during the twelve (12) months preceding the event giving rise to the claim.

9. Changes to these terms

How we will update this document

We may modify these Terms of Service from time to time. When we make material changes, we will provide notice through the dashboard, by email, or by updating the “Effective date” at the top of this page.

Continued use of the services after the updated terms become effective constitutes your acceptance of the changes. If you do not agree, you must stop using the services.
